Terms & Conditions

These Terms & Conditions ("Terms") govern your access to and use of the RIVOX platform, website at rivox.money, dashboard, APIs and related services (the "Services"). The Services are provided by JSR Technologies LLC ("JSR", "we", "us"). RIVOX is a product and brand of JSR Technologies LLC. By creating an account or using the Services, you agree to these Terms on behalf of yourself and the business you represent ("Merchant", "you").

1. Eligibility and accounts

The Services are intended for businesses only. You must be at least 18 years old and authorized to bind your organization. You are responsible for the accuracy of your account information, for keeping your credentials secure, and for all activity under your account.

2. The Services

RIVOX provides billing software, including subscription management, usage metering, invoicing and revenue reporting. RIVOX is a billing layer and is not a bank, money transmitter or payment processor. Payment processing, where used, is performed by third-party processors under their own terms.

3. Merchant responsibilities

• Comply with all laws applicable to your business, pricing, invoicing and taxes.
• Obtain all necessary consents from your customers for the data you submit.
• Verify invoices, tax calculations and pricing configurations before relying on them.
• Comply with our Acceptable Use Policy.

4. Fees

Fees are described on our pricing page or in an order form. Fees are non-refundable except where required by law or expressly stated. We may change fees with at least 30 days' notice.

5. Merchant data

You retain ownership of the data you submit to the Services ("Merchant Data"). You grant JSR a limited license to host, process and transmit Merchant Data solely to provide and improve the Services. Our handling of personal data is described in our Privacy Policy.

6. Intellectual property

JSR and its licensors own all rights in the Services, software, the RIVOX name and logos. No rights are granted except as expressly stated in these Terms.

7. Availability and changes

We work to keep the Services available but do not guarantee uninterrupted operation unless a separate written service level agreement applies. We may modify or discontinue features with reasonable notice.

8. Suspension and termination

You may close your account at any time. We may suspend or terminate access for breach of these Terms, non-payment, risk to the Services or legal requirements. Upon termination, you may request an export of Merchant Data for 30 days.

9. Disclaimers

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE". TO THE MAXIMUM EXTENT PERMITTED BY LAW, JSR DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE AND NON-INFRINGEMENT.

10. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, JSR WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR PUNITIVE DAMAGES, OR LOST PROFITS OR REVENUE. JSR'S TOTAL LIABILITY WILL NOT EXCEED THE FEES YOU PAID TO JSR IN THE 12 MONTHS BEFORE THE CLAIM.

11. Indemnification

You will defend and indemnify JSR against third-party claims arising from your use of the Services, your Merchant Data or your violation of these Terms or applicable law.

12. Governing law

These Terms are governed by the laws of the State in which JSR Technologies LLC is organized, without regard to conflict-of-law rules. Disputes will be resolved in the courts located there.

13. Changes

We may update these Terms. Material changes will be notified by email or in the dashboard. Continued use after changes take effect constitutes acceptance.
